A company’s name is more than just a label — it’s your brand identity, your market impression, and your first step toward recognition. But as your business grows, pivots, or rebrands, changing the company name may become necessary.

Whether it’s for expansion, repositioning, or legal restructuring, changing your company name in India involves a specific legal process governed by the Companies Act, 2013.

In this guide, Pockettax breaks down the complete company name change procedure, along with the required documents, timeline, and compliance essentials — so you can rebrand without regulatory roadblocks.

Top Reasons Companies Change Their Name

  • Rebranding or repositioning in the market

  • Merger or acquisition

  • Expansion into new sectors or geographies

  • Legal issues with the current name

  • Change in ownership or management

Step-by-Step Process to Change Company Name in India

Board Resolution

The process starts with a Board Meeting to pass a resolution proposing the name change. This step includes:

  • Selecting a new name

  • Authorizing a director or company secretary to handle the filing

Name Availability Check & Reservation

Apply for name reservation via Part A of the SPICe+ form on the MCA portal. This is similar to reserving a name during incorporation.

The new name must:

  • Not resemble any existing company or trademark

  • Comply with the Companies (Incorporation) Rules, 2014

Pockettax helps ensure that your proposed name is available, non-conflicting, and meets all legal standards before filing.

Pass Special Resolution via EGM

Once the name is approved, call an Extraordinary General Meeting (EGM) to pass a Special Resolution under Section 13 of the Companies Act.

This resolution formally authorizes the change in the company's name and its Memorandum of Association (MOA) and Articles of Association (AOA).

Filing with ROC – Form MGT-14

File Form MGT-14 with the following:

  • Certified copy of Special Resolution

  • Notice and minutes of the EGM

  • Altered MOA & AOA

This must be done within 30 days of passing the resolution.

Final Approval – Form INC-24

File Form INC-24 to get Central Government approval (delegated to the ROC). This form contains:

  • Reasons for name change

  • Resolution details

  • SRN of MGT-14

If everything is in order, the ROC will issue a Certificate of Incorporation (CoI) with the new name.

Documents Required

  • Board Resolution for name change

  • Proposed names with significance

  • EGM Notice and Special Resolution

  • Altered MOA and AOA

  • DIN and DSC of directors

  • Form MGT-14 and INC-24 filings
